This announcement is made by the board (the “Board”) of directors (the “Directors”) of Wanka Online Inc. (the “Company”, together with its subsidiaries and consolidated affiliated entities, the “Group”) pursuant to Rule 13.51(4) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Stock Exchange”).

References are made to the Company’s announcements dated 11 March 2024 and 19 March 2024, respectively (the “Announcements”) in relation to, among others, the resignation of auditor and the delay in publication of annual results announcement and delay in dispatch of annual report for the year ended 31 December 2023. Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcements.

The Board announces that, with the recommendation from the Audit Committee, it has resolved to appoint Elite Partners CPA Limited (“Elite Partners”) as the new auditor of the Company with effect from 25 March 2024, to fill the vacancy following the resignation of Moore HK and to hold office until the conclusion of the next annual general meeting of the Company.

The Audit Committee has considered a number of factors in assessing the eligibility and suitability of Elite Partners to act as the auditor of the Company, including but not limited to (i) the audit proposal of Elite Partners; (ii) extensive experience of Elite Partners including, its industry knowledge and technical competence in providing audit work for companies listed on the Stock Exchange; (iii) Elite Partners’ independence from the Group and objectivity; (iv) reputation of Elite Partners in the market; (v) the audit plan of Elite Partners and its resources and capability of completing the audit work; (vi) the experience, work quality and resources of the team of Elite Partners assigned for the audit of the Group; and (vii) the guidelines issued by the Stock Exchange and the Accounting and Financial Reporting Council (“AFRC”) in respect of change of auditor such as Guidelines for Effective Audit Committees - Selection, Appointment and Reappointment of Auditors published by the AFRC and Guidance Notes on Change of Auditors published by the AFRC.

Based on the above, the Audit Committee has assessed and considered that Elite Partners is eligible and suitable to act as the auditor of the Company. The Board, with such recommendation, has resolved to appoint Elite Partners as the new auditor of the Company.
